The Constitution of Stafford Acrobatic Gymnastics and Trampolining Club

1. Name The name of the Club shall be "Stafford Acrobatic Gymnastics and Trampolining Club", based at Stafford Leisure Centre and shall be affiliated to the West Midlands Amateur Gymnastics Association (WMAGA) and the British Gymnastics Association (BGA).
2. Objects The aims of Stafford Acrobatic Gymnastics and Trampolining Club shall be realised through the Club Vision Statement.
3. Vision “The Club exists to help, encourage and to motivate members to achieve their maximum potential” Stafford Acrobatic Gymnastics and Trampolining Club shall observe and administer of the rules of the British Gymnastics Association. The Club will provide the following:
      I. Coaches who are qualified and able to teach to an agreed plan for each member.
      II. A safe environment that ensures that the risks associated with the sport is minimised.
      III. A “culture” that encourages each member to be part of a “team” and “family” of the club.
      IV. A learning environment that recognises positive behaviour.
4. Constitution Stafford Acrobatic Gymnastics and Trampolining Club shall consist of affiliated Club members all of whom shall be affiliated to British gymnastics.
5. Control The control of Stafford Acrobatic Gymnastics and Trampolining Club shall be vested in a Committee of Members all of whom shall be amateurs.
6. Quorum No business shall be transacted at a Full or Sub-committee meeting unless there is a simple majority present.
7. Chairman’s Power to Act The right of the Chair to act on behalf of the committee shall be approved at the AGM each year. It is expected that the Chair should contact either the Hon. Sec. or Hon. Treasurer if having to make a decision on behalf of the Committee between meetings.
8. Annual General Meeting The Committee shall meet on a date in September annually (with effect from 2005) and a notice convening the meeting shall be accompanied by a brief copy of the Stafford Acrobatic Gymnastics and Trampolining Club annual report and accounts and shall be made available to all members of Stafford Acrobatic Gymnastics and Trampolining Club fourteen days prior to the meeting.
      All members of the Stafford Acrobatic Gymnastics and Trampolining Club are entitled to vote at the AGM.
      Nominations for office and motions for inclusion on the agenda must be received by the Hon. Secretary by August 20th and may be accepted from any member of Stafford Acrobatic Gymnastics and Trampolining Club.
      The business of the Annual General Meeting shall be: -
   
      I. To receive and, if approved, to adopt the report of the Committee and the accounts of the previous year.
      II. To elect officers for the ensuing year.
      III. Each officer shall be elected annually.
   
9. Special General Meetings A special or extraordinary meeting may be called upon the request of a minimum of one third of the current Committee of Stafford Acrobatic Gymnastics and Trampolining Club. A minimum of fourteen days notice shall be given to all persons entitled to attend altogether with a statement of the business proposed and transacted. No other business shall be dealt with at the meeting.
10. Omission The accidental omission to give notice or non-receipt of a notice does not invalidate the proceedings of the meeting held.
11. Voting The voting at all meetings shall be by show of hands or at the discretion of the person presiding, by secret ballot. A simple majority shall carry the decision.
12. Casting Vote The Chair shall have a deliberate vote although NO casting vote. In the event of a tie a decision must be attained through further debate and a re-vote. 8.
13. The Members' Committee The Members Committee shall consist of:
    Executive Committee
      I. Chairman
      II. Honorary Secretary
      III. Honorary Treasurer
      IV. Welfare Officer
    The executive committee will have the final vote over any decisions.
    
    Where a coach or performer of Stafford Acrobatic Gymnastics and Trampolining Club holds a defined position, further members of the Committee may be elected from the membership of Stafford Acrobatic Gymnastics and Trampolining Club. The Committee shall have the right to Co-opt members to fulfil specific tasks. Co-opts members do not have a vote on full-committee matters.
    
    The Committee has the following powers and duties and shall meet on at least four occasions during the year. The first meeting shall be within one month of the AGM:
    
      I.To conduct the business of Stafford Acrobatic Gymnastics and Trampolining Club and to keep a record of the decisions made.
      II.To publish its minutes for all members to see.
      III.To submit its report and accounts at the AGM.
      IV.To appoint any sub-committee found necessary throughout the year and the fill and vacancies on committees as they may occur.
      V.To deal with the day to day business of Stafford Acrobatic Gymnastics and Trampolining Club.
      VI.To appoint representatives to the WMSATC as appropriate.
      VII.To determine the annual membership fee and subscription.
      VIII.To ensure Stafford Acrobatic Gymnastics and Trampolining Clubs development plan is achieved.
    
14. Income and Property The income and Property of Stafford Acrobatic Gymnastics and Trampolining Club shall be applied solely to the promotion of the objects of Stafford Acrobatic Gymnastics Club.
15. Finance The Hon. Treasurer of Stafford Acrobatic Gymnastics and Trampolining Club shall be responsible for keeping and recording all payments made by Stafford Acrobatic Gymnastics Club and for rendering an account there of to the Members Committee as requested.
16. Membership Fees Members shall be required to pay an annual membership fee to be determined by the Members Committee and any subsequent rises will be agreed by members of Stafford Acrobatic Gymnastics and Trampolining Club annually. The annual membership fee shall include affiliation of members to British Gymnastics and Stafford Acrobatic Gymnastics and Trampolining Club. The member remains responsible for competition entry fee’s and travel costs to and from competition including the costs incurred through subsistence and overnight accommodation.
17. Code Of Conduct All members of Stafford Acrobatic Gymnastics and Trampolining Club and their parents will be required to agree to and sign Stafford Acrobatic Gymnastics and Trampolining Club’s Code of Conduct and Rules. Failure to comply with these rules will result in disciplinary action to be taken.
18. Alterations to Rules Alterations to these articles or rules may only be made by resolution at an AGM or SGM and then only by two thirds of the members present entitled to vote.
19. Dissolution Clause If the executive committee decides that it is necessary or advisable to dissolve Stafford Acrobatic Gymnastics and Trampolining Club, it shall call a meeting of all members of the committee, giving a minimum of 21 days notice. If the proposal is confirmed by two-thirds of the majority of those present and voting, the Executive Committee shall have the power to release any assets held by or on behalf of the club. Any assets remaining after satisfaction of any proper debts or liabilities shall be given or transferred to such other group or groups who have similar aims and objectives as Stafford Acrobatic Gymnastics and Trampolining Club.
